(referred to as “Producer”), and [Artist/Label Name] (referred to as “Customerr”). WHEREAS, Producer is in the business of producing music and beats and warrants that it has ownership of the platform known as Beat World App ("App") through which it offers beat production services; AND WHEREAS, Buyer desires to purchase music production services from Producer; NOW, THEREFORE, in consideration of the promises, terms, and conditions set forth herein, the parties agree as follows: 1. Services Provided Producer agrees to provide music production services to Buyer, which may include but are not limited to the creation, modification, and/or sale of beats or instrumentals ("Beat Production") via the Beat World App. 2. Ownership of Beat World App Producer represents and warrants that it owns all rights, titles, and interests in and to the Beat World App and has the full legal authority to license and provide beat production services to Buyer as described herein. 3. Delivery of Beat Production Producer shall deliver the completed Beat Production to Buyer in accordance with the specifications provided by Buyer. Upon completion, Buyer will have the option to receive: A single high-quality WAV file of the Beat Production; or High-quality individual stems of the Beat Production. Buyer must specify the preferred delivery format upon placing the order or within [time frame] after the order is placed. All files will be delivered through the Beat World App or another mutually agreed method. 4. Payment and Fees Buyer agrees to pay Producer the agreed-upon fee for the Beat Production services. Payment to Producer shall be made at the time of delivery or export of the completed Beat Production from the Beat World App, beatworld.ai store, or any affiliated platform used for the Beat Production. In the event of any chargeback, refund, or dispute initiated by Buyer concerning this transaction, all of Buyer’s rights to the Beat Production will be immediately void, and all rights to the Beat Production, including any licenses or ownership interests, will revert back to the Producer. Buyer agrees that no further use of the Beat Production will be permitted upon occurrence of a chargeback, refund, or dispute, and Producer retains the right to pursue any legal remedies available to reclaim those rights. The payment schedule and amount will be detailed in Exhibit A (attached hereto and incorporated herein). All payments shall be made in [currency]. 5. Licensing, Publishing, and Master Ownership Upon receipt of full payment, Producer grants Buyer a [type of license, e.g., exclusive/non-exclusive] license to use the Beat Production. The parties agree that the publishing rights and master recording rights for the Beat Production will be split 50/50 between Producer and Buyer. Publishing Rights: Producer and Buyer shall each own 50% of the publishing rights to the Beat Production. Master Recording Rights: Producer and Buyer shall each own 50% of the master recording rights to the final version of the song(s) incorporating the Beat Production. The scope of the license, including any geographical restrictions, duration, and usage limitations, will be detailed in Exhibit B. 6. AI-Generated Content Producer may utilize artificial intelligence ("AI") tools or services in the creation of the Beat Production. Producer warrants that all AI-generated elements will be original or appropriately licensed, and Buyer will receive the necessary rights to use any AI-generated content as part of the Beat Production. The use of AI in the production process does not affect the warranties or rights provided under this Agreement. 7. No Co-Publishing Claims by Buyer By using the Beat World App to select chords, tempo, or other settings in the beat production process, Buyer acknowledges that they are ordering a custom beat from Producer and not contributing to the composition of the Beat Production in a way that would warrant co-publishing or co-authorship rights. Buyer agrees and acknowledges that: All composition rights, including but not limited to the underlying music, chords, melodies, and arrangements created through the Beat World App, remain solely with Producer. Buyer shall have no claim to any co-publishing or co-composing rights in the Beat Production as a result of selecting settings or input parameters via the Beat World App. 8. Producer's Right to Enter Into Agreements with Other Producers Producer reserves the right to enter into agreements and collaborations with third-party producers and their unique "soundworlds" or creative styles. These collaborations may result in the creation of new beats or elements for the Beat World App. Such arrangements will not affect the Buyer’s rights under this Agreement, and Producer retains the discretion to manage these relationships independently. 9. Warranties and Representations Producer represents and warrants that: Producer has the full right and authority to enter into this Agreement and provide the Beat Production. The Beat Production will not infringe upon the rights of any third party, including intellectual property rights. Producer will comply with all applicable laws in connection with the creation and sale of the Beat Production. 10. Indemnification Buyer agrees to indemnify and hold harmless Producer from and against any and all claims, losses, or damages arising out of Buyer’s use of the Beat Production, except where such claims arise solely from Producer’s breach of warranty or intellectual property infringement. 11. Termination This Agreement may be terminated by either party in the event of a material breach by the other party, provided written notice is given and the breach is not cured within [time frame]. Upon termination, Buyer shall cease using the Beat Production unless full payment has been made. 12. Governing Law This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflicts of laws principles. 13. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral, concerning the subject matter hereof. 14. Modification No modification, alteration, or amendment of this Agreement shall be valid unless in writing and signed by both parties. 15. AI and Intellectual Property Compliance Both parties acknowledge that AI-generated elements used in the Beat Production comply with applicable intellectual property laws, and Producer guarantees that the Beat World App ensures originality or proper licensing for any AI contributions. 16.
